    What is your relationship, if any, with RemusUSA/MaxMOTO distribution in California? Is this the California distributor referenced in the case study performed by the first owner? Are they a competitor, supplier, or both? Do you have other competitors selling the same products into the same market?

    We deal with a distributor for the products, and we have the deepest discount out of any retailer. You can easily Google and see the competition.
    I do want to note that there is not one company in the market who matches our catalog data. We are the only one with ACES compliant complete database for Remus.

    I'm not sure that really answers my question, but I do have a couple more questions:

    1) Why would the contact address (91 Indale Ave, Staten Island, NY) of the website be the same contact address of your independent auditor?

    2) You've noted that you currently market on the 6speedonline.com forums. After looking through 6speedonline, I don't see Remus Exhaust Shop or Remus Exhaust Store in the vendor directory. What I do see is a number of posts by exclusivex.com which is a former vendor on 6speedonline and has not posted since mid-November. WHOIS listing shows ShoppingCartElite as the technical/admin contact for exclusivex.com. What's the story here?

    3) The backlinks and SERP history files you've posted are only as recent as May. Can you post updated files?

    4) 6speedonline.com forums note a contact named "Wayne". Is his salary or pay included in the balance sheet expenses?

    5) Can you update the balance sheet to show November and December?

    6) Balance sheet expenses show $185 for Shopping Cart. Shopping Cart Fees in this listing appear to be $199 (SCV Premium) plus $99 (Marketing Apps). Are these monthly, so shouldn't the monthly expense be a minimum of $298?

    7) Is there a guarantee that SEO Apps, Fitment Guide, and Dedicated SSL will continue to be free?

    1) He is the owner of the non-operating owner of the business. His core business is his accounting firm

    2) It was under several names, one being ExclusiveX. Currently the strategy was shifted to PPC, because there was no time to manage the forums

    3) Refer to analytics to see the latest traffic, all the tools used to track ranking are no longer poviding it due to Google TOS violation. You can google it for "Google API SEOMOZ"

    4) Commission only from net profits not in balance sheet

    6) That rate would only apply for one website, prepaid annually. Currently their is 2 websites, but we left the price the same until a new owner takes over.

    1) So your accountant is currently part owner of remusexhaustshop.com and remusexhauststore.com, correct?

    2a) What happens to the exclusivex.com website? Is it also part of the sale? And the 6speedonline forums are currently NOT used for marketing, correct?

    2b) You've provided an attachment called No PPC Proof. But is sounds like your current marketing strategy is indeed PPC, correct?

    3) Is there a Google Analytics posted to the listing somewhere? I don't see one.

    4) How much is this commission? And shouldn't a commission expense be shown on your profit/loss statement? (BTW, your attachment file is called "Balance Sheet", but that's not a balance sheet.)

    Thanks for the quick reply. I'm still trying to get a solid understanding of the expenses that are not reported on the P&L statement. It looks like a potential buyer of these websites would have to account for the following additional expenses not reported on the P&L statement:
    1) PPC campaign. What are the December costs for PPC, and what can a buyer expect going forward?

    2) 30% of net to "Wayne".

    3) Shopping Cart Fees of $298 billed quarterly. That's $1192 annually for 1 website and $2384 annually for 2 websites.
    The P&L shows $17258 net over 10 months. Extrapolate that to 12 months might show $20709, although your updated P&L may show different. Subtract PPC costs (unknown), Wayne commission, and shopping cart fees, net would be less than $12K per year. Does that sound about right, or are there other costs not included in the P&L? It would be a good idea to have the P&L accurately reflect expenses as it should, especially coming from a CPA supposedly using GAAP.

    1) Ill have him update PPC in Dec, I don't believe there was much there, it should be the same amount as the forums (around $200)
    2) New owner would have the option to keep the full net profit, the commission to Wayne is something that is done on the side that has no relationship to the business. Wayne acts a partner of the business who collects the net profits, making that irrelevant from P&L unless you choose not to run the business yourself and have Wayne continue to do that.
    3) To clarify. It is $298 billed quarterly for two websites. If you decide to take only one website it will still be $298/mo unless you remove the marketplace and SEO apps. The second website we've added to him at no charge to see if the sales can be increased by creating competition. It will remain free as long as the first subscription is active.
    I will confirm if there are any other costs that weren't included, I do not believe so.

    Okay, thanks. Can you clarify what the commission expense and the merchant fees shown on the P&L consist of? If you're already paying a commission off the books to Wayne, what is the source of the commission expense shown on the P&L? And why is there such a wide range of merchant fees? The merchant fees don't seem to correlate with sales.
    And regarding exclusivex.com and the 6speedonline.com forums, if you're paying a commission expense plus a side commission to Wayne, how is it that there was no time to manage the forums? It sounds like the owner doesn't do anything on the website and just subs out everything anyway.
    And finally, you noted that the second website was added at no charge to see if the sales can be increased by creating competition, but in the previous listing, you noted that you "started another fresh domain to make sure the new buyer will have a backup plan to do the SEO on the new site, while the old one is recouping" due to being penalized for unnatural links. These sound like 2 different reasons for the additional website. Can you elaborate on this?

    2) The owner does not spend anytime on the website, Wayne handles it all at the moment

    3) It started off that way, however at this time the domain has already been reinstated. We are leaving the second domain active for the reason I specified at no extra charge as long as the first subscription is active.

    2) Where do the merchant fees come from, and how are they calculated?

    3) Regarding the GRO PROJECT COURSE, the literature says that this is a $4995 course, but is this included in the sale at no cost? What if the buyer doesn't want the course?
